Terms of Service

These Terms of Service (“Terms”) govern your use of Notetaker AI (the “App”), operated by Black Sheep Media Limited (“we”, “us”, or “our”). By using the App, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the App, you confirm that you are at least 13 years of age and agree to these Terms. If you do not agree, please do not use the App.

2. Description of Service

Notetaker AI is a desktop application that allows you to record audio, transcribe speech to text using artificial intelligence, detect multiple speakers, and generate formatted notes. The App is available for Windows.

3. Accounts

You must create an account to use the App. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating your account and to keep this information up to date.

You must verify your email address before accessing the full features of the App. We reserve the right to suspend or terminate accounts that use false or misleading information.

4. Free and Paid Plans

Free Plan: The free plan includes up to 3 recordings with a maximum duration of 5 minutes per recording. Free plan usage limits are cumulative and do not reset when recordings are deleted.

Pro Plan: The Pro plan removes all recording limits and unlocks additional features including AI summarization, unlimited recordings, and unlimited recording duration. The Pro plan is available as a weekly ($7.99 USD/week) or monthly ($19.99 USD/month) subscription.

5. Subscriptions and Billing

Pro plan subscriptions are billed on a recurring basis (weekly or monthly) through Stripe, our third-party payment processor. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

You may cancel your subscription at any time through the “Manage Subscription” option in the App’s settings. Upon cancellation, you will retain access to Pro features until the end of your current billing period. No refunds will be issued for partial billing periods.

6. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose or in violation of any applicable laws
• Record conversations without the consent of all parties where required by law
• Upload or transmit harmful, abusive, or objectionable content through the App
• Attempt to circumvent free tier limitations or usage restrictions
• Reverse engineer, decompile, or disassemble the App
• Share, resell, or redistribute your account access to others
• Use the App to infringe upon the intellectual property rights of others
• Attempt to gain unauthorized access to our servers or systems

7. Audio Recordings and Transcriptions

You retain ownership of all audio recordings and transcriptions created through the App. By using the App, you grant us a limited, temporary license to process your audio recordings solely for the purpose of providing the transcription service.

Audio recordings are temporarily uploaded to our servers for processing and are deleted after transcription is complete. Transcribed notes are stored locally on your device.

You are solely responsible for ensuring that your use of the recording and transcription features complies with applicable laws regarding consent to recording in your jurisdiction.

8. Intellectual Property

The App, including its design, features, code, and branding, is the intellectual property of Black Sheep Media Limited. You are granted a limited, non-exclusive, non-transferable license to use the App in accordance with these Terms.

9. Third-Party Services

The App relies on third-party services including AssemblyAI for transcription, Stripe for payments, and Google for authentication. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability or performance of third-party services.

10. Disclaimer of Warranties

The App is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that the App will be uninterrupted, error-free, or completely secure. Transcription accuracy may vary depending on audio quality, background noise, accents, and other factors.

11. Limitation of Liability

To the maximum extent permitted by law, Black Sheep Media Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App, including but not limited to loss of data, loss of revenue, or loss of business opportunities.

Our total liability for any claim arising from or related to the App shall not exceed the amount you have paid us in the 12 months preceding the claim.

12. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the App will immediately cease. Any data stored locally on your device will remain accessible to you.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes through the App or via email. Your continued use of the App after changes are posted constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.
